Valerie Ngooi Ming Hui

Valerie graduated from the University of Sheffield, England, in 2002, after which she obtained a master’s degree in corporate and commercial law from Kings College, University of London, England, in 2003. She was admitted as an advocate and solicitor of the High Court of Malaya in 2005.


Valerie commenced practice as a corporate commercial lawyer in October 2005 with Zaid Ibrahim & Co., a premier Malaysian law firm based in Kuala Lumpur, Malaysia, and was seconded to Zaid Ibrahim & Co.’s associate firm, Roosdiono & Partners, in Jakarta, Indonesia, after 1 ½ years of practice in Kuala Lumpur. She was attached with Roosdiono & Partners for three years prior to joining Assegaf Hamzah & Partners in 2010.


Valerie advises on a wide spectrum of corporate and commercial matters, including takeovers, mergers and acquisitions, corporate restructuring, corporate governance, licensing and regulatory approvals, exchange control regulations, foreign investment, new business ventures and investment vehicles, joint ventures, capital markets, securities law, due diligence, drafting, reviewing commercial documents and papers, and general corporate advisory work. In Indonesia, Valerie’s experience also covers an extensive range of corporate transactions, with specialization in M&A deals across the plantation, oil & gas, and property sectors. She has represented foreign investors from Asia, the United States, the United Kingdom, continental Europe and Australia in a significant number of M&A transactions and foreign direct investments.


Recent key engagements include advising Malaysian, Korean, Australian and Singaporean investors on their respective acquisitions of oil palm plantation businesses in Sumatra, Kalimantan (Indonesian Borneo), Sulawesi, Papua and other areas throughout Indonesia. Valerie also recently advised a Malaysian government-linked investment company (GLIC) and its associated Malaysian and Indonesian group of companies oin a joint venture involving five oil palm plantation companies in Kalimantan, a managing agent in Jakarta, a joint venture for an oil palm refinery in Batam, and the proposed acquisition of an oil palm plantation company in South Kalimantan.


Valerie is fluent in written and spoken English and Bahasa Malaysia, and has a conversational command of Bahasa Indonesia, Mandarin and Cantonese (including a basic understanding of written characters).
